1. Acceptance of Terms
By accessing or using the BankTechIntel platform (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including administrators, assessors, and any individual accessing the platform on behalf of a financial institution.
2. Description of Service
BankTechIntel is an AI-powered software inventory and governance platform designed for community banks. The Service provides:
- Guided self-assessment for discovering your bank’s software ecosystem
- AI-driven inference of software assets based on your responses
- Risk scoring and regulatory compliance analysis
- AI-generated regulatory documentation across 11 document types
- Vendor drift monitoring and alerting
- Governance readiness scoring across 8 regulatory pillars
- Document upload, AI compliance analysis, and supplementation tools
- PDF export of examiner-ready documentation
3. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate documentation, risk assessments, compliance analyses, and recommendations. You acknowledge and agree that:
- AI output is advisory only. All AI-generated content, including regulatory documents, risk scores, compliance gap analyses, and supplementation recommendations, is provided as a starting point and informational aid. It does not constitute legal, regulatory, or professional compliance advice.
- Human review is required. All AI-generated documents must be reviewed, validated, and approved by qualified personnel within your organization before being used for regulatory examination, audit, or any official compliance purpose.
- No guarantee of accuracy. While the AI models are designed to produce high-quality, relevant content, we do not guarantee the accuracy, completeness, or regulatory sufficiency of any AI-generated output. AI models may produce errors, omissions, or content that does not fully reflect your institution’s specific circumstances.
- Compliance scores are indicative. Rubric-based compliance scores (0-100) measure coverage against a defined checklist of required items. A score of 100 indicates the document addresses all checklist items, but does not certify that the document meets all applicable regulatory requirements for your specific institution, jurisdiction, or examination context.
- Supplementation preserves but does not validate. When AI supplements a document to address identified gaps, the original content is preserved and additions are clearly marked. However, supplemented content requires the same human review as any AI-generated material.
4. Software Inventory and Risk Assessment
The Service infers your bank’s software inventory based on assessment responses, industry patterns, and vendor data. You acknowledge that:
- Inferred software is estimated. The inference engine uses algorithms and pattern matching to suggest likely software in your environment. Inferred assets may be inaccurate and must be confirmed or removed by you.
- Risk scores are calculated, not audited. Risk scores are algorithmically calculated based on data sensitivity, AI presence, and approval status. They are not the result of a professional risk audit and should not be treated as such.
- You are responsible for data accuracy. The quality of the Service’s output depends on the accuracy and completeness of the information you provide during the assessment and through manual data entry.
5. Vendor Drift Monitoring
The Service monitors vendor products for changes, including new AI capabilities. You acknowledge that:
- Vendor drift monitoring uses AI-powered web research and may not capture all vendor changes or announcements.
- Detected drift events are informational and require your independent verification before taking action.
- The Service does not monitor all vendors or products and coverage may vary.
6. User Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Provide accurate registration information, including a valid email address
- Keep your password secure and not share it with unauthorized individuals
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
Administrator accounts have elevated privileges including user management, data access across tenant accounts, and system configuration. Administrators are responsible for managing access appropriately within their organization.
7. Data Privacy and Handling
We take the security of your data seriously. By using the Service:
- Your data is tenant-isolated. Each organization’s data is logically separated and accessible only to authorized users within that tenant.
- Assessment data is stored securely. Your responses, software inventory, and generated documents are stored in encrypted databases.
- AI processing involves third parties. Document generation, analysis, and supplementation are processed through third-party AI providers. Your document content is sent to these providers for processing. We do not control how third-party AI providers handle data beyond their published data processing agreements.
- Uploaded documents are processed. When you upload PDF, DOCX, or TXT files, the text content is extracted and stored. Original file formats are not retained after text extraction.
- Webhook integrations transmit data. If your administrator configures webhook integrations (e.g., GoHighLevel), assessment completion data may be transmitted to external CRM systems.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
- We shall not be liable for any regulatory actions, examination findings, penalties, or compliance failures resulting from reliance on AI-generated content, risk scores, compliance analyses, or any other output of the Service.
- We shall not be liable for any damages resulting from inaccurate software inference, incorrect risk scoring, incomplete vendor monitoring, or AI-generated documentation that does not meet your regulatory requirements.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid for the Service in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Service providers, their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service or any AI-generated content
- Your reliance on risk scores, compliance analyses, or documentation produced by the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any third-party claims related to documents or data generated through the Service
10. Intellectual Property
The Service, including its software, design, algorithms, and underlying technology, is the intellectual property of the Service providers. AI-generated documents created through the Service are provided for your use, but the platform, AI models, rubrics, templates, and inference engine remain our proprietary property.
You retain ownership of any data, documents, or content you upload to the Service. By uploading content, you grant us a limited license to process, store, and analyze that content solely for the purpose of providing the Service to you.
11. Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We do not guarantee uninterrupted or error-free operation of the Service. We may update these Terms from time to time, and continued use of the Service after such updates constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
